Welcome to ASR DigitalX (https://www.asrdigitalx.com), operated by ASR Group. By accessing or using our website, services, software applications, or consulting offerings, you agree to comply with and be bound by the following Terms and Conditions.

1. Scope of Services

ASR DigitalX provides software engineering, web application development, custom requirements, custom AI automation and chatbot development, search engine and generative engine optimization (SEO/GEO/AEO), paid performance advertising management, and direct marketing communications.

Detailed project timelines, deliverables, scope milestones, and commercial agreements are formalized through individual Statements of Work (SOW) or Master Service Agreements (MSA) executed between ASR DigitalX and the client.

2. Intellectual Property & Ownership

Unless explicitly agreed otherwise in a written Statement of Work:

Client IP: All proprietary data, client trademarks, business assets, and final deliverables paid for in full belong exclusively to the client.
Agency IP: Pre-existing software frameworks, internal libraries, reusable workflow modules, and generic algorithms developed by ASR DigitalX remain the intellectual property of ASR DigitalX.

3. Confidentiality & Non-Disclosure

Both parties agree to protect and maintain the confidentiality of all proprietary business data, API credentials, financial records, and strategic trade secrets shared during the project lifecycle.

4. Performance & Ad Spend Management

While ASR DigitalX applies best-in-class data engineering, AI optimization, and proven acquisition frameworks, external advertising platforms (e.g. Google, Meta) and search engines (Google, OpenAI, Perplexity) operate independent algorithms. We do not guarantee specific algorithmic placement or third-party platform uptime beyond our direct engineering control.

5. Payment Terms & Invoicing

Invoices are due according to the payment schedules specified in the applicable SOW. Work on active project milestones may be paused if outstanding accounts remain overdue beyond the agreed grace period.

6. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in Uttar Pradesh / Delhi NCR, India.
